Setlo Merchant Terms & Conditions
Version 2026-10-07 · Effective 7 October 2026
These Merchant Terms & Conditions ("Terms") form a legally binding agreement between you (the "Merchant", "you", or "your") and Setlo and its founders, co-founders, directors, officers, employees, contractors, and affiliates (together, "Setlo", "we", "us", or "our") governing your access to and use of the Setlo software, websites, till / checkout tools, APIs, smart-contract integrations, automation (including settlement listeners), documentation, and related services (the "Service").
By creating a Setlo account, ticking the acceptance box, completing shop onboarding, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
Setlo provides non-custodial software that helps Merchants display payment requests for supported crypto assets and networks. Merchants settle supported sales in official USDC on Base. Setlo is not a bank, payment institution, e-money issuer, custodian, exchange, broker, bridge provider, or insurer.
1. Who we are and what Setlo is
Setlo is a software platform that enables Merchants to request supported crypto payments and generate checkout / till flows. Available customer options may include USDC, USDT, ETH, DAI, WBTC, MATIC, ARB, LINK, UNI, and AAVE across supported EVM networks, plus XRP on the XRP Ledger, SOL on Solana, and USDT on Tron where those routes are enabled. The exact assets and networks shown at checkout are the source of truth and may vary by amount, route, network conditions, and configuration. Regardless of the source asset or network, Merchant settlement is in official USDC on Base.
Setlo does not take possession of your private keys, seed phrases, or customer funds. Customer payments are intended to go to addresses and contracts associated with your Merchant configuration. Platform fees and network charges are handled according to the on-chain and off-chain logic described in the Service, but Setlo does not operate a custodial wallet for Merchant or customer balances.
References to “founders” or “co-founders” mean the individuals behind Setlo. To the maximum extent permitted by law, claims relating to the Service are against Setlo as the service provider and are subject to the liability caps and exclusions in these Terms; founders and co-founders are intended third-party beneficiaries of the protections in these Terms.
2. Eligibility and account registration
You must be at least 18 years old and legally able to enter contracts. If you register for a business, you confirm you are authorised to bind that business.
You must provide accurate registration and shop information and keep it updated. You are responsible for all activity under your account and for keeping passwords (including any owner / wallet-change password) confidential.
We may refuse, suspend, or terminate accounts that appear fraudulent, abusive, unlawful, or that present unacceptable risk to Setlo, other users, or the public.
3. Non-custodial nature — your wallets and keys
You alone control the wallets and addresses you connect. You are solely responsible for safeguarding private keys, seed phrases, hardware wallets, exchange withdrawal settings, and access to those wallets.
If you lose keys, send funds to the wrong address or network, mistype an address, or are phished, Setlo cannot reverse the transaction. Crypto transfers are generally irreversible.
You must verify every payout address carefully (including confirmation fields in onboarding). Setlo is not liable for losses arising from incorrect addresses you supply.
4. How payments work
A typical flow: you (or your till) create a payment request; the customer chooses an option shown as available and authorises the displayed transfer in their own wallet; Setlo marks the sale Paid only after the exact required amount of the official USDC token on Base reaches the designated settlement address and receives the required blockchain confirmation. A wallet approval, submitted transaction, third-party status, or screenshot is not proof of payment to the Merchant.
Base USDC may be sent directly. Other supported choices may use a customer-authorised swap or bridge route supplied and executed through independent third-party protocols. Setlo displays route information and status but does not take custody of the customer’s source funds or control the customer’s wallet.
Direct Base payments commonly confirm within seconds to a few minutes after the required blockchain confirmations. Other supported asset and network routes may take a few minutes or longer depending on confirmations, liquidity, route availability, and network conditions. No fixed payout time is guaranteed, and the Merchant till shows Paid only after the required official Base USDC settlement confirms.
Settlement and customer-selected conversion or transfer services depend on blockchain conditions, wallets, node providers, liquidity, third-party protocols and APIs, and correct configuration. Quotes can expire and transactions can be delayed, fail, partially complete, be rejected, or return funds to the customer.
Displayed fiat amounts are converted using rate sources we integrate. Rates can move; the crypto amount shown at checkout is what the customer must pay. Setlo does not guarantee any particular exchange rate after the quote window.
5. Fees and network charges
The current published Setlo platform fee is 1.5% of the purchase amount for a completed sale. The remaining 98.5% of the purchase amount is allocated to the Merchant; the platform share is handled through Setlo’s configured settlement logic. Network, conversion, or operational charges may be added to the customer total or otherwise reserved as described in the product and these Terms.
Network, swap, and bridge charges are estimates or live quotes and may include provider fees, price impact, or buffers. Actual on-chain costs and execution amounts can differ. The customer must review the wallet transaction before authorising it.
Founder / platform fee splits (including any 50/50 founder arrangements) are a matter of Setlo’s commercial configuration and on-chain treasury logic. They do not create a partnership, employment, or fiduciary relationship between you and Setlo’s founders.
6. Things outside our control
You acknowledge that many risks and failures are outside Setlo’s reasonable control, including but not limited to: blockchain congestion, forks, reorgs, consensus failures; smart-contract bugs or exploits in tokens, decentralised exchanges, bridges, route providers, or other infrastructure; insufficient liquidity or price movement; wallet software bugs; RPC / node provider outages; gas market spikes; internet failures; sanctions screening by third parties; regulatory actions; and force majeure events.
If a customer funded their crypto via a card, bank, exchange, or on-ramp, disputes, freezes, chargebacks, or fraud claims on that fiat leg are between the customer and that issuer / provider. Setlo is not the merchant of record for those card or bank transactions. Direct the customer to their card issuer, bank, or exchange support.
The customer is responsible for selecting the asset and network shown for their chosen option, checking the destination address and amount presented by their wallet, and approving the correct wallet transaction. Transfers made outside the prepared checkout flow, to a wrong address, using the wrong or an unsupported asset or network, for an insufficient amount, or with altered transaction details may be unrecoverable and do not make the checkout Paid.
If a third-party wallet, network, conversion, or transfer service does not complete, the customer should not repeat payment unless the checkout clearly shows it is safe to do so. The Merchant or customer should contact Setlo support with the payment code and transaction hash. Setlo may trace the available transaction records and identify the relevant provider support channel, but does not insure or guarantee recovery, reversal, or reimbursement of funds lost, delayed, rejected, refunded, or misdirected before official Base USDC reaches the designated settlement address.
7. Merchant responsibilities
You are solely responsible for: your goods and services; pricing; receipts and invoices; tax, VAT, and accounting; consumer law compliance in your jurisdiction; AML / CTF / KYC obligations that apply to your business; sanctions compliance; age-restricted or regulated goods; refunds and complaints policies; and any licences you need to accept crypto.
You must not use Setlo for illegal activity, including fraud, money laundering, terrorist financing, sanctions evasion, scams, darknet markets, or sale of prohibited goods/services.
You must not attempt to reverse-engineer, attack, spam, or overload the Service, or interfere with smart contracts, other Merchants, or Setlo infrastructure.
You are responsible for informing your customers that payments are in crypto, may be irreversible, that third-party wallet, network, or conversion services can fail or refund before settlement, and that network, conversion, or platform charges may apply as shown at checkout.
8. Customer disputes, refunds, and chargebacks
Crypto payments settled on-chain are generally final. Setlo does not provide chargeback rights like card schemes.
Refunds for goods or services remain subject to your refund policy and applicable consumer law. You decide and fund any customer refund from funds you have received, unless applicable law requires otherwise.
Setlo is responsible only for funds it has actually received or controlled and then mishandled, subject to the exclusions and liability cap in these Terms and the Merchant’s applicable refund policy. Setlo has no obligation to fund a refund for a payment that never reached its control, was rejected or returned by a third party, or was sent using the wrong asset, network, amount, or address.
If a customer complains about a card top-up used to buy crypto that was then paid to you, tell them to contact their card issuer, bank, or the exchange / on-ramp. Setlo is not that issuer.
You agree to handle customer support for your own sales. Setlo may, but need not, help investigate technical payment status in its logs.
9. Prohibited uses
You must not use the Service in connection with: illegal drugs, weapons trafficking, child sexual abuse material, human trafficking, ransomware, stolen goods, unlicensed gambling where prohibited, pyramid schemes, investment scams, or any activity that would cause Setlo to violate law.
We may freeze access, refuse settlement automation, or terminate accounts where we reasonably suspect prohibited use, without liability to you for consequential losses, to the extent permitted by law.
10. Intellectual property
Setlo owns or licenses the Service branding, software, UI, documentation, and related IP. You receive a limited, revocable, non-exclusive licence to use the Service for your lawful Merchant operations while these Terms remain in force.
You must not copy, resell, or white-label the Service except with our written permission.
11. Privacy and data
We process account, shop, and transaction metadata needed to operate the Service (for example email, shop profile, payment IDs, addresses, and status). Blockchain data is public by nature.
You must not submit sensitive personal data you are not allowed to process. You are the controller of your customer personal data collected at your till; Setlo acts as a processor / service provider only to the extent we process such data on your behalf for the Service.
Acceptance of these Terms (version, timestamp, IP address, and user agent) is stored in our database as evidence of your agreement.
12. Service availability and changes
The Service is provided on an “as is” and “as available” basis. We do not guarantee uninterrupted uptime, perfect automation, or that every payment will settle without delay.
We may modify features, supported assets or networks, fee parameters, payment-option availability, and these Terms. Material Terms changes will be posted with a new version identifier. Continued use after the effective date may constitute acceptance; we may also require re-acceptance for new shops or major updates.
We may discontinue the Service or any network with reasonable notice where practicable, without liability for loss of anticipated profits.
13. No financial, legal, or tax advice
Nothing in the Service is financial, investment, legal, or tax advice. Crypto assets are volatile and risky. You should obtain independent professional advice for your situation.
Setlo does not guarantee that using the Service makes you compliant with financial services, payments, or AML law in any country.
14. Disclaimers
To the maximum extent permitted by law, Setlo disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that smart contracts, tokens, decentralised exchanges, bridges, wallets, or route providers are bug-free; that quotes will remain available; that gas estimates will match final costs; or that listeners, RPCs, hosting providers, or other infrastructure will always run.
15. Limitation of liability
To the maximum extent permitted by law, Setlo and its founders, co-founders, directors, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or cost of substitute services, arising out of or related to the Service or these Terms, whether based in contract, tort, or otherwise, even if advised of the possibility.
To the maximum extent permitted by law, Setlo’s total aggregate liability arising out of or relating to the Service or these Terms shall not exceed the greater of: (a) the total platform fees actually received by Setlo from your shop in the three (3) months immediately before the claim; or (b) one hundred pounds sterling (£100).
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under applicable law.
You acknowledge that the fees Setlo charges reflect this allocation of risk.
16. Indemnity
You agree to indemnify, defend, and hold harmless Setlo and its founders, co-founders, directors, officers, employees, contractors, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: your use of the Service; your goods or services; your customers; your wallets and addresses; your breach of these Terms or law; tax or regulatory issues; and disputes between you and any customer, supplier, or payment issuer.
17. Release regarding blockchain outcomes
You release Setlo and its founders / co-founders from claims arising from: irreversible transfers; wrong address, token, or network; a customer-approved swap or bridge; failed, delayed, or partially completed third-party routes; failed or delayed settlement; liquidity, price, or gas market moves; third-party protocol or API failures; and funds locked in contracts due to misconfiguration you requested or approved, except to the extent liability cannot lawfully be excluded.
18. Suspension and termination
You may stop using the Service at any time. We may suspend or terminate access immediately for breach, legal risk, non-payment of fees where applicable, or abuse.
On termination, on-chain funds already in your wallets remain yours to control; Setlo has no obligation to continue automation. Sections that by nature should survive (including liability, indemnity, IP, and governing law) survive termination.
19. Governing law and disputes
These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or the Service are governed by the laws of England and Wales, without regard to conflict-of-law rules.
This choice of England and Wales law applies regardless of where you, your shop, your customers, or your wallets are located in the world. By accepting these Terms you agree that English and Welsh law governs your relationship with Setlo even if you operate outside the United Kingdom.
The courts of England and Wales shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, except that Setlo may seek injunctive or other urgent relief in any jurisdiction to protect its intellectual property, security, or confidential information.
You remain solely responsible for complying with the local laws that apply to your own business and customers in whatever country you operate (including consumer, tax, and licensing rules). Nothing in these Terms transfers that responsibility to Setlo or its founders / co-founders.
Before filing a claim, you agree to contact us and attempt good-faith resolution for 30 days.
20. General
These Terms are the entire agreement regarding the Service and supersede prior understandings on the same subject.
If any provision is unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver.
You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
Headings are for convenience only. “Including” means “including without limitation”.
Acceptance records (Terms version, timestamp, IP, user agent, shop and user identifiers) may be retained as proof of agreement.
21. Contact
